2. Scope of Work
All projects, products, or services provided by Adya3 Design Spark Pvt. Ltd. are based on mutual agreement between the company and the client. The scope, specifications, and delivery schedule will be defined and approved before commencement. Any additional requirements beyond the agreed scope will be treated as a separate request.
3. Project Timelines
- Delivery schedules are estimated and may vary depending on project complexity and client response time.
- Any delay in client approvals, data submission, or communication may extend the delivery timeline.
- Adya3 Design Spark Pvt. Ltd. shall not be liable for any delay caused by factors beyond its control.
4. Payment and Billing
- Payments must be made as per the agreed terms in the project proposal or invoice.
- Once a project has commenced, payments made are non-refundable.
- In case of project cancellation by the client, charges for work completed till that date will be applicable.
- Ownership or delivery of the final product will be transferred only after full payment is received.
5. Ownership and Intellectual Property
- All designs, materials, and documents developed by Adya3 Design Spark Pvt. Ltd. remain the company’s intellectual property until full payment is completed.
- Upon settlement of dues, the client receives rights to use the final deliverables as per the agreed purpose.
- The company reserves the right to retain and display completed work for portfolio or promotional use unless restricted by the client in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of all shared data, business information, and documents. Any confidential information will not be disclosed to third parties without prior consent, except when required by law.
7. Revisions and Changes
- Minor revisions within the original project scope will be accepted during the review stage.
- Major changes or additional requests after approval will be considered as new work and may involve additional charges.
8. Limitation of Liability
- Adya3 Design Spark Pvt. Ltd. is not liable for any indirect, incidental, or consequential loss arising from the use or inability to use the delivered product or service.
- The company’s total liability shall be limited to the amount paid by the client for the specific project or product in question.
9. Termination
The company reserves the right to suspend or terminate any project or service in cases of non-payment, violation of terms, or misuse of deliverables.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of the courts located in Visakhapatnam, Andhra Pradesh .
